These Terms of Service (“Terms”) govern your access to and use of Voteify (the “Service”), an online ranked-choice voting platform operated by Apex Medical Enterprises (“Voteify,” “we,” “us”). By creating an account, organizing an election, or casting a ballot, you agree to these Terms. If you are agreeing on behalf of an organization, you represent that you are authorized to bind that organization.
Voteify lets an organization (the “Organizer”) create elections, invite eligible voters, collect ranked ballots, and tabulate results using instant-runoff (IRV) and single transferable vote (STV). The Service is provided to help run elections; the Organizer remains solely responsible for the legitimacy, conduct, and outcomes of its own elections, including eligibility rules, candidate selection, notice to voters, and compliance with its own bylaws and applicable law.
You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account. An “Organization” is the entity that owns a set of elections; the person who creates it is its owner and may invite other organizers. You are responsible for the actions of organizers you authorize.
Paid plans are billed as described at the time of purchase (per election or per term). Per-election charges apply when an election is opened; correcting a mistake by re-running an election that has received no ballots does not incur an additional charge. Annual plans renew for successive terms unless cancelled before renewal. Unless required by law, fees are non-refundable once an election has been opened. Prices may change on a prospective basis; published pricing is illustrative until confirmed at checkout.
As between you and us, the Organizer owns its election content and its voter roster, and may export its rosters and results at any time. You grant us a limited license to host and process this content solely to provide the Service. Our handling of personal data is described in our Privacy Policy. For voter personal data, the Organizer is the controller and Voteify acts as a processor on the Organizer’s behalf.
The Service is designed so that the record that a voter has voted is stored separately from the contents of their ballot, and ballot contents are encrypted, so that ballots are not linked to individual voters. We will not deliberately re-identify ballots. You acknowledge, however, the limits described in Section 9.
You may stop using the Service at any time and delete your organization. We may suspend or terminate access that violates these Terms, creates risk to others, or is required by law, and will make reasonable efforts to let you export your data where appropriate.
The Service is provided “as is” and “as available.” We strive for a strong, encrypted, auditable, and transparent election, but no internet-based voting system can be guaranteed to be free of error, interruption, or attack, and we do not represent that the Service is “unhackable.” For high-stakes or legally binding elections, you are responsible for deciding whether online voting is appropriate and for adopting additional safeguards (such as an independent review or a parallel process). To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
To the maximum extent permitted by law, Voteify and Apex Medical Enterprises will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or election outcomes. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the event giving rise to the claim.
You agree to indemnify and hold harmless Voteify and Apex Medical Enterprises from claims arising out of your elections, your content, your voter communications, or your violation of these Terms or applicable law.
We may update these Terms. Material changes will be posted here with an updated date and, where appropriate, notified to account holders. Continued use after changes take effect constitutes acceptance.
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules, and the parties submit to the courts located in Texas, unless otherwise required by applicable law.
